1. Acceptance of Terms
By accessing and using Equalize's services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts. You represent that all information provided during registration is accurate and complete. We reserve the right to refuse service to anyone at our discretion.
3. Services
Equalize provides over-the-counter (OTC) cryptocurrency trading services. All trades are final once executed. We reserve the right to refuse or cancel any trade at our discretion, particularly if we suspect fraud, money laundering, or violation of applicable laws.
4. Pricing and Fees
Prices quoted are valid for a limited time and subject to market conditions. Our pricing includes a spread which constitutes our fee. Additional fees may apply for certain services, which will be disclosed prior to execution.
5. Risks
Cryptocurrency trading involves substantial risk of loss. You acknowledge that you understand these risks and that we are not responsible for any losses you may incur. Please read our Risk Disclosure Statement carefully.
6. Limitation of Liability
To the maximum extent permitted by law, Equalize shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes shall be resolved in the courts of Hong Kong.
8. KYC/AML Compliance
As a licensed operator under the Hong Kong Securities and Futures Commission (SFC), we are required to conduct Know Your Customer (KYC) and Anti-Money Laundering (AML) checks. You agree to provide accurate identification documents, proof of address, and source of funds documentation as requested. We reserve the right to refuse service, suspend accounts, or report suspicious activities to relevant authorities. Failure to comply with KYC/AML requirements may result in account termination and forfeiture of funds as required by law.
9. Prohibited Activities
You agree not to use our services for: (a) money laundering, terrorist financing, or any illegal activities; (b) transactions involving sanctioned individuals, entities, or jurisdictions; (c) market manipulation, wash trading, or fraudulent activities; (d) circumventing any applicable laws or regulations; (e) violating any third-party rights; (f) transmitting malicious code or interfering with our systems; (g) impersonating any person or entity; or (h) any activity that could damage our reputation or operations. Violation of these prohibitions may result in immediate account termination, forfeiture of funds, and referral to law enforcement.
10. Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach. We strongly recommend enabling two-factor authentication (2FA) and using unique, strong passwords. We are not liable for any losses arising from your failure to maintain account security. You agree not to share your account credentials with any third party.
11. Service Modifications & Termination
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.
12. Indemnification
You agree to indemnify, defend, and hold harmless Equalize, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; (d) your violation of any third-party rights; or (e) any content or information you provide to us. This indemnification obligation will survive termination of these Terms.
13. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, civil unrest, government actions, pandemic or epidemic, power outages, telecommunications failures, cyberattacks, blockchain network congestion or failures, exchange outages, or any other force majeure event. During such events, our obligations will be suspended until the circumstances cease.
14. Dispute Resolution & Arbitration
Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules. The arbitration shall be conducted in Hong Kong in English. The arbitrator's decision shall be final and binding. You waive any right to participate in class action lawsuits or class-wide arbitration against us.
15. Intellectual Property
All content, trademarks, logos, software, and intellectual property on our platform are owned by or licensed to Equalize. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software. Your use of our services does not grant you any intellectual property rights in our services or the content you access.
16. Communications
By using our services, you consent to receive electronic communications from us, including emails, SMS messages, and notifications through our platform. These communications may include service announcements, administrative messages, transaction confirmations, and marketing materials. You may opt out of marketing communications at any time. Electronic communications satisfy any legal requirement that such communications be in writing.
17. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and Equalize regarding our services and supersede all prior agreements and understandings. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
